Setting the scene

Scottish Mortgage is a UK closed-ended investment fund listed in London, with no employees and no executive officers, whose management is entirely delegated to an external manager, Baillie Gifford, under the oversight of a wholly non-executive board. It is not a holding company, and the distinction is anything but academic: it changes three things for a reader. There is no controlling family. Net asset value is published daily rather than twice a year. And the investment doctrine one is about to read is not the issuer's, it is its provider's.

That doctrine comes in four parts. Look for the outliers first: only a small number of companies really matter, and the aim is to find the few that produce extreme returns. Do it with patient capital next, the manager holding that its long time horizon is the source of what sets it apart, and it accepts the corollary, that extreme returns and smooth performance are mutually exclusive. Break down, third, the divide between listed and private companies, which an open-ended structure makes possible, free as it is to hold a company for as long as it keeps compounding. And behave, finally, as a partner to those companies rather than an investor in them. Three published figures test that language. Annual portfolio turnover is 8% at 30 June 2026, which would imply a holding period of the order of twelve years if the pace held. Active share, that is the difference in composition from the world index, is 88%. And ongoing charges are 0.33%, with no performance fee whatsoever. The horizon is written down too: an average holding period of five years or more is targeted.

The treatment of private companies is the most misread point in this file. The 30% limit applying to that pocket is measured at the time of investment, not on a continuous basis. Nothing therefore obliges the fund to sell anything when the pocket exceeds the threshold through revaluation alone, and exceed it it did, at 41.5% at 31 March 2026. The converse is equally true and has just happened: the pocket fell to 20.4% at 30 June 2026 without a single sale, purely because SpaceX went public. The manager keeps deploying new capital there, and quantifies it: GBP 254m invested in private companies over the year, against GBP 132m the year before.

That leaves performance, and it reads both ways. At 30 June 2026 total assets are GBP 18,714,779,110, borrowing GBP 1.40bn, net asset value per share 1,613.00 pence against a share price of 1,470.50 pence, a discount of 8.8%. Over ten years, with dividends reinvested, net asset value rises 525.0% while the FTSE All-World index rises 250.5%. Over five years, net asset value rises 20.4% while the same index rises 79.1%. A holder who came in mid-2021 and left on 30 June 2026 therefore earned a quarter of the index. The manager owns that shape of return, having written as much himself; serving only the ten-year column would be choosing the flattering window. Concentration, finally, is extreme: SpaceX alone accounts for 25.7% of total assets at 30 June 2026, and the fund is subject to a period during which those shares cannot be sold, whose term the company does not publish.

Transparency The author personally holds, in a private capacity, shares in Scottish Mortgage Investment Trust PLC, acquired prior to the creation of Opulion. A long position, with no derivative and no leverage, well below 0.5% of the company's issued share capital, and one that does not represent a significant part of his invested wealth. This holding does not affect the independence of the analysis, which remains non-recommending.

Who decides, and since when

How the house is governed

The other companies in this universe have a manager, often a family, sometimes a pact. Scottish Mortgage has no chief executive, no finance director and no employees. Its governance therefore reads on two floors that never merge. On the first, the manager: Baillie Gifford picks the securities, values them and reports; it is not a controlling shareholder, it is a contractor. On the second, the board: seven directors, all non-executive, whose role is not to manage but to supervise the provider, negotiate its fees and be able to dismiss it. The matters the board reserves to itself are listed: strategy, investment policy, currency hedging, borrowings, gearing, share buyback and issuance policy, treasury, dividend and governance. It is the complete reversal of the family pattern: here the power to appoint and dismiss belongs to directors who own nothing.

The management contract is the real lever, and it carries a structural conflict of interest worth knowing. The scale is 0.30% on the first four billion pounds of total assets less current liabilities, then 0.25% above that, paid quarterly, with no performance fee at all, and terminable on not less than six months' notice. It is charged on total assets, not on net assets. Yet total assets include the GBP 1.40bn of borrowing at 30 June 2026: borrowing therefore mechanically enlarges the manager's fee base. The board holds the counterweight, since borrowing policy is among its reserved matters, and it states each year whether the manager should be retained. Fees paid over the 2026 financial year come to GBP 40,121k, for ongoing charges of 0.33%.

Share buybacks are the board's second lever, and they are an instrument of governance rather than of communication. A programme announced on 15 March 2024 for at least one billion pounds was executed at GBP 3.10bn and 318.6 million shares over two years, more than three times the announced commitment. At 31 March 2026, 406,614,074 shares out of 1,078,166,806 issued are held by the company itself, that is 37.7% of the issued capital, recalculated. The direction then reversed after the year end: no buyback between 1 April and 21 May 2026, and 24,750,000 shares reissued out of that reserve over the same period. A safeguard is written down, those shares being reissuable only at a price below the prevailing net asset value. The board also refuses to set a discount target: its stated criterion is a significant imbalance between supply and demand for the shares.

That leaves the committees, and what has not yet been tested. None of the seven directors has a service contract. The audit committee has been chaired by Mark FitzPatrick since 2022. The nomination committee is the whole board. A remuneration committee was created during the year and had not formally met at 31 March 2026. And a valuations group has been set up, chaired by Vikram Kumaraswamy, to support the board's oversight of private company valuations: this is the body to watch, since it answers directly to the vehicle's main risk, namely that 20.4% of assets are valued by a process internal to the manager. The report sets the caveat itself, these bodies having just been created and their roles still expected to evolve. On diversity, finally, two of the UK regulator's three targets are met at 31 March 2026, and the third, at least one senior board position held by a woman, is resolved by an already announced succession.
