Setting the scene

Ackermans & van Haaren invests its own equity, with no debt carried at holding level, in a deliberately limited number of strategic participations, alongside a more scattered growth portfolio. The company sums up its doctrine in three words: long-term growth, active ownership, sustainability. What it says it is looking for is not a rate of return. For each participation it targets recurring growth in activity, operating cash flow, earnings and equity, rather than an absolute profitability target or short-term dividend maximisation. The house therefore measures itself by the steady progression of its equity and its dividend.

Holding period is not declared here, it is read off the page. The activity report prints, for twenty companies, the year they entered the portfolio: DEME since 1876, Delen Private Bank since 1992, Nextensa and Mediahuis since 1994, SIPEF since 1997. Median tenure is 15.5 years. Seven positions are more than twenty-five years old, eight are less than ten: the house keeps its old holdings and has added roughly one a year since 2019. In 2025 there was a single new entry, VKC Nuts, and no major participation was sold.

The instrument of control is not a majority stake, it is the shareholder agreement, that private contract between owners which governs decisions and transfers. Delen Private Bank is equity-accounted at 78.75% because of such an agreement, SIPEF at 42.20% for the same reason, and Sagar Cements enters the scope at 19.64% thanks to a veto right written into its articles. It shows in the income statement: EUR 316.2m out of EUR 592.5m of 2025 net profit, or 53.4%, comes from companies the holding does not control on its own. Active ownership is described here by three acts, and the company lists them: choosing senior management, setting long-term strategy, backing structural projects. In the growth segment no sector is favoured, and that is claimed openly.

Fifty-two people work at the holding and its sub-holdings, for a group that counts 24,931 people on a pro forma basis. The gap between those two figures is what this house is: value is created in the subsidiaries, decisions are taken by fifty-two.

Transparency The author personally holds, in a private capacity, shares in Ackermans & van Haaren NV, acquired prior to the creation of Opulion. A long position, with no derivative and no leverage, well below 0.5% of the company's issued share capital, and one that does not represent a significant part of his invested wealth. This holding does not affect the independence of the analysis, which remains non-recommending.

Who decides, and since when

How the house is governed

Control of Ackermans & van Haaren rests on a chain of six companies running through three countries. At the top sits a Dutch foundation, Stichting Administratiekantoor "Het Torentje". Below it, Palamount SA in Luxembourg, Apodia International Holding BV in the Netherlands, Celfloor SA in Luxembourg, then Belfimas NV in Belgium, which owns 92.25% of Scaldis Invest NV, which in turn owns 33.34% of Ackermans & van Haaren. The foundation also holds 1.54% of the capital directly. Belfimas has a single purpose, to own shares in Ackermans & van Haaren directly or indirectly, and any transfer of its own securities must be approved by its board.

One share carries one vote, and nothing more. No double voting rights, no loyalty voting rights: the company's regulated page publishes 33,157,750 shares carrying voting rights for 33,157,750 voting rights. Control is therefore not control in law. With a third of the capital and no enhanced voting mechanism, Scaldis Invest does not hold an absolute majority at the general meeting. What holds is stability: a chain of holding companies whose purpose is to own this one company, an approval right at the top of that chain, and a block of one third of the capital.

For a minority shareholder, three consequences follow. The company publishes no free float, that share of the capital genuinely tradable on the market, and the figure moves by almost three points depending on what is deducted: 66.66% excluding Scaldis Invest alone, 65.12% once the foundation's direct stake is also removed, 63.68% once the shares the company holds in itself are removed as well. The board has twelve directors, all non-executive, five of them independent, and it states that it is not aware of any agreement between Ackermans & van Haaren shareholders. The nomination committee, finally, is the board itself, which departs from the 2020 Belgian governance code; the company owns that choice and explains it.

Management alignment runs through one measure, and it is precisely the one the investment doctrine pursues: 80% of short-term incentive depends on return on equity, 20% on environmental and social targets. The 2025-2028 remuneration policy was approved by 80.6% of votes at the general meeting of 26 May 2025. What the report does not publish, on the other hand, is how many shares the executives own personally: only the options granted appear.
