Investor: after SEK 1.9bn in nine months, SEB's buyback pause caps its sales of SEB shares
SEB paused its share buybacks on 22 October 2026, after a decision by the Swedish supervisor that is expected to cut its capital buffer temporarily by 120 basis points. To keep its 22.0% stake when SEB cancels the shares it has bought back, Investor sells SEB shares: SEK 1.9bn in nine months. With the rule unchanged, fewer buybacks mean fewer shares to sell next year.
Why it matters for Investor shareholders: Investor's SEB stake is worth SEK 102,026m, 8% of Investor's total assets at 30 September 2026, for 22.0% of SEB's capital. Sales of SEB shares brought in SEK 1.9bn over nine months, equivalent to 13% of the SEK 14,774m of dividends received from listed companies over the same period (Opulion calculation). For Investor, SEB's buybacks are also a source of cash: they come back the following year as sales of SEB shares (Opulion reading).
The circuit runs through cancellation. On 23 April 2026, SEB cancelled 57.2 million repurchased shares, bringing its number of shares down to 1,985,461,084. Without selling, Investor would have gone from 21.8% of the capital at the end of 2025 to 22.5% (Opulion calculation: 446,198,927 shares, that is the 436,198,927 held at 30 September plus the 10.0 million shares sold since January, divided by 1,985,461,084). It sold 8.0 million shares in the first quarter and 2.0 million in the third, and is due to sell 2.0 million in the fourth for about SEK 450m, "in order to maintain the current ownership level in SEB" (report of 16 October, p. 2). After that settlement, its stake would be back at 21.9% (Opulion calculation: 434,198,927 shares divided by 1,985,461,084). These 12.0 million shares are 21% of the shares cancelled, close to its share of the capital: Opulion reading, the sales offset the cancellations. Our brief of 16 July noted one of these disposals and its stated purpose.
The pause changes the volume, the rule stays. SEB's 2026 programmes repurchased 18.8 million shares for SEK 3,750m, against 57.2 million for SEK 10,000m under 2025 (SEB report of 22 October, p. 13). If these 18.8 million shares were cancelled in spring 2027, Investor would have about 4.1 million shares to sell to keep its stake, a little over a third of 2026 (Opulion hypothesis: 22.0% of 18.8 million).
SEB gives two causes for the pause: continued loan growth and the capital impact of the Swedish supervisor's decision. On 14 October, the supervisor identified deficiencies in the internal models SEB uses to calculate the risk of its loans, and is temporarily adding about SEK 150bn to its risk exposure amount from 31 December 2026, until new models are approved. SEB puts the effect at −120 basis points, pro forma at 30 June. As a scale marker, the buffer of around 250 points at 30 September would fall to about 130 points, within the bank's target range of 100 to 300 points (Opulion calculation: 250 − 120). A SEK 1.25bn buyback programme uses up about 12 of them (Opulion calculation: SEK 1,250m over a SEK 1,077bn risk exposure amount at 30 September).
The other channel for surplus capital is the extra dividend: SEK 2.50 per share in 2026, on top of SEK 8.50 ordinary, or about SEK 1.1bn for Investor (Opulion calculation on 438 to 446 million shares, depending on when the first-quarter sales settled). The report of 22 October is silent on the next one.
Ordinary dividend
Share of earnings per share that SEB aims to pay out, unchanged on 22 October.
SEB buybacks
Size of the last programme, completed on 20 October, with no successor announced.
Buffer at 31 December
It will set what SEB can pay beyond the ordinary dividend, extra dividend included.
For Investor shareholders, three pieces of evidence will follow: the settlement of the 2.0 million SEB shares in the fourth quarter, Investor's year-end report on 22 January 2027 and SEB's year-end report, on a date yet to be published, with its buffer at 31 December and its dividend proposal. The fourth will come on 23 March 2027: the number of shares SEB will have cancelled by its annual general meeting, which will set how many Investor will have to sell.
