HAL now owns 20.01% of Technip Energies shares

The 21 September AFM filing supersedes the distinction in our original article: the threshold has now been crossed in actual shares and votes, with no further potential interest reported.

Updated 26 September 2026. When we published on 20 September, the available AFM filing showed HAL actually owning 19.79% of Technip Energies shares and reporting another 0.22% potential interest through options: 20.01% in total. A new filing for a transaction on 21 September, updated by the AFM on 24 September, now shows 36,078,740 shares actually owned, or 20.01% of both shares and votes, with no additional potential interest reported. Our statement that HAL did “not yet own 20% of the shares” accurately described the earlier snapshot but has become outdated. We update the headline and article while preserving that chronology.

Two filings, two dates

Technip Energies designs industrial plants and supplies technology for liquefied natural gas, petrochemicals and energy-transition projects. HAL, a listed Dutch holding company, has built up its stake over several quarters. Our article on Technip Energies' Saudi Aramco agreements explained the operating business; this update is about HAL's capital allocation, not a new industrial contract.

What the AFM establishes on each date
A potential regulatory interest should not be recast as shares already owned at the earlier date.

    31 July 2026
HAL owns 35,678,740 shares, or 19.79%, plus options over 400,000 shares, or 0.22% potential interest.
  2. 2
    20 September 2026
Opulion reports that snapshot: 20.01% when actual and potential interests are combined.
  3. 3
    21 September 2026
New transaction disclosed: 36,078,740 shares actually owned, or 20.01% of shares and votes.
  4. 4
    24 September 2026
The AFM updates the new register entry.

The difference is 400,000 shares, exactly the number underlying the options in the earlier filing. The numerical match does not by itself establish whether those options were exercised, shares were purchased through another route or what price was paid. The new register shows the resulting ownership and votes, not the exact contractual path or cash outlay.

Why HAL shareholders should care

The change confirms a further increase in an already significant stake. HAL valued Technip Energies at €1.058bn at year-end 2025. Its published net asset value (listed companies and the liquid portfolio at market value, unlisted companies at book value) was €16.418bn at that date. Opulion calculation: 1.058 ÷ 16.418 = about 6.4% of NAV then. This historical weight must not be presented as a current weight at 21 September: the share price, HAL's holding and its other assets have since changed. At 30 June 2026, its latest reporting date, HAL reported a 19.15% stake.

This listed holding makes part of HAL's value observable in the market and increases exposure to Technip Energies' execution on large projects. Greater economic influence does not imply an announced takeover or control. Judging value creation still requires the price paid for the additional shares, the position's current value within HAL, and changes in Technip Energies' orders, margins and cash collection. Our review of HAL's half-year results puts the stake in the wider portfolio.
