Investor and SoftBank: China blocks its leg of the ABB Robotics sale, about $5.3bn expected in Q4

On 4 November 2026, SoftBank Group was notified that the Chinese authority had prohibited its acquisition of ABB Robotics' business in China. ABB, 20% of Investor's total assets at 30 September, expected about $5.3bn net of costs from the sale of the whole division in the fourth quarter. Neither statement says how much China weighs in the division: that is now the figure to watch.

Enterprise value of the sale
$5.375bn
Agreement signed with SoftBank Group in October 2025, restated in ABB's release of 5 November 2026
Pre-tax book gain expected by ABB
$2.4bn
ABB announcement of 8 October 2025, not included in its 2026 guidance, third-quarter release of 20 October 2026, p. 11
ABB holding at Investor
SEK 252.8bn
14.6% of ABB's capital and 20% of Investor's total assets at 30/09/2026, interim management statement of 16 October 2026, p. 4

Why it matters for Investor shareholders: at 30 September 2026, Investor held 265,385,142 ABB shares, its largest holding (interim management statement, p. 4). On a look-through basis, its share of the expected net proceeds would be about $0.77bn and its share of the pre-tax book gain about $0.35bn (Opulion calculation: 14.6% of $5.3bn and of $2.4bn), as a yardstick. These amounts stay at ABB: Investor would see them only through the value of the holding and whatever ABB returns to its shareholders. For Investor, what is at stake is less ABB's operations, from which Robotics is already separated as discontinued operations, than the date and amount of a cash inflow whose use has yet to be announced.

In ABB's accounts, Robotics is already classified as discontinued operations, with closing expected in the fourth quarter (third-quarter financial information, p. 14). The agreement of 8 October 2025 covers the whole division: $2.3bn of revenue in 2024, an operational EBITA margin of 12.1% and around 7,000 employees, according to ABB's release that day, which put the expected proceeds, net of transaction costs, at about $5.3bn and the pre-tax book gain at about $2.4bn. The prohibition, notified to SoftBank by China's Office of the Working Mechanism for Foreign Investment Security Review, covers the business in China. ABB states that SoftBank manages the approvals, and both companies say they are "working constructively" on the transaction. Our brief of 22 October noted the expected gain and the closing expected in the fourth quarter, two points the November statements leave open.

ABB Robotics: signed in October 2025, blocked in China in the quarter of the expected closing
ABB releases of 8 October 2025, 20 October and 5 November 2026, SoftBank Group release of 6 November 2026 and SoftBank Group calendar. The first four steps are facts published by 6 November, the last an announced date.
  1. 8 October 2025
    Agreement signed
ABB signs the sale of the whole Robotics division to SoftBank Group.
  2. 20 October 2026
    Closing expected in Q4
In its third-quarter accounts, ABB presents Robotics as discontinued operations and expects closing in Q4.
  3. 4 November 2026
    Prohibition notified
SoftBank is notified that the acquisition of the Robotics business in China is prohibited.
  4. 5 and 6 November 2026
    Both confirm
ABB and SoftBank say they are working constructively.
  5. 10 November 2026
    SoftBank results
The half-year results could quantify the effect on the buyer's side.

On the buyer's side, our analysis of 4 September showed SoftBank Group borrowing JPY 1 trillion, partly to pay for Robotics. The same event reads as a mirror image in two holding companies followed by Opulion: an expected cash inflow at ABB, Investor's largest holding, and an expected cash outflow at SoftBank.

WHAT IS SIGNED

The whole Robotics division

$5.375bn

Enterprise value of the October 2025 agreement, for about $5.3bn of net proceeds expected by ABB.

WHAT IS PROHIBITED

The acquisition of the business in China

4 November 2026

Notification received by SoftBank, confirmed by ABB on 5 November and by SoftBank on 6 November.

WHAT REMAINS TO BE QUANTIFIED

China's weight in Robotics

Not published

Revenue, headcount and assets of the China business are absent from both statements.

For Investor shareholders, the tests will come in this order. On 10 November, SoftBank Group's half-year results could say whether the cash outflow changes in amount or timing. At a date still unknown, a statement from ABB or SoftBank would say whether the sale closes without China, at another price or on another date. On 22 January 2027, Investor will revalue its ABB holding, and on 28 January, ABB's annual results will say whether the gain was booked in 2026 and could say what becomes of the proceeds, tracked on the Investor company page.
